End User License Agreement

This End User License Agreement ("Agreement") is a binding legal contract between TV Pilot Builder LLC, a Wyoming limited liability company ("Operator," "we," "us," or "our") and you ("User" or "you") governing your access to and use of the TV Pilot Builder® web application, related software, documentation, sample projects, and services (collectively, the "Service" or "Software") available at tvpilotbuilder.com and associated domains operated by TV Pilot Builder LLC.

BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

You represent that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

The Service is offered subject to this Agreement, our Terms of Service, and our Privacy Policy, which are incorporated herein by reference. In the event of a conflict, this Agreement controls with respect to the license to and use of the Software.

1. License grant

Subject to your continuous compliance with this Agreement, Operator grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal professional purposes in developing television pilot materials.

No ownership of the Software or Service is transferred to you. This Agreement grants only a license to use the Service as provided—it does not sell the Software to you.

Operator reserves all rights not expressly granted. Any unauthorized use terminates the license granted herein.

2. Operator intellectual property

The Service, including all software, source and object code, user interface, design, layout, graphics, logos, trademarks, service marks, trade names, sample projects, instructional text, story-framework structures, algorithms, workflows, documentation, and all related intellectual property, is owned by Operator or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

TV Pilot Builder®, WritersRoom Pro® compatibility features, Unity of Opposites™ and other operator frameworks, and all operator-provided content are Operator property or used under license. You may not copy, imitate, or misappropriate Operator branding.

The story theory frameworks, season and pilot structures, beat sheets, Deep Dive content, and related instructional text made available within the Service — including the Prestige Drama, Half-Hour Comedy, Broadcast Hour, Limited Series, and High-Concept Genre structures — are original works authored by or licensed to Operator and are protected by copyright as Operator's specific expression of those frameworks. Operator does not represent or warrant that any such content is in the public domain.

You may not remove, alter, or obscure any proprietary notices on or in the Service.

3. Your content

You retain ownership of creative material you enter into the Service ("User Content"), including titles, characters, story notes, and similar work product, subject to the licenses below.

You grant Operator a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, sync, back up, and process User Content solely to operate, maintain, secure, and improve the Service and to provide it back to you. This license ends when User Content is deleted from the Service, except as retained in backups for a reasonable period or as required by law.

You represent and warrant that you own or have all rights necessary to submit User Content and that your User Content does not violate any law or third-party rights.

Operator does not claim ownership of your stories or creative works. Sample projects and demonstrations provided by Operator are Operator property and are not your work.

4. Restrictions

You may not, and may not permit any third party to:

(a) copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, or algorithms from the Service, except to the extent such restriction is prohibited by applicable law;

(b) rent, lease, lend, sell, sublicense, distribute, publish, or make the Service available to any third party except as expressly permitted;

(c) use the Service to build a competing product or service, or to scrape, crawl, harvest, or extract data from the Service by automated means without written consent;

(d) circumvent, disable, or interfere with security, access-control, or usage-limiting features;

(e) use the Service for any unlawful, fraudulent, harmful, or abusive purpose;

(f) introduce malware, viruses, or harmful code;

(g) impersonate any person or entity or misrepresent your affiliation;

(h) use the Service in any manner that could damage, disable, overburden, or impair Operator systems or other users.

Operator may investigate violations and cooperate with law enforcement. Violations may result in immediate termination without refund (the Service is currently offered without charge, but this applies to any future paid features).

5. Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify Operator promptly of any unauthorized use.

Operator may suspend or terminate accounts that appear compromised or that violate this Agreement.

6. Project passwords and shared content

TV Pilot Builder® allows you to protect a project with a password you choose and to share a password-encrypted project file with another user. Your project password is never transmitted to or stored by Operator in a form that would allow Operator to read it, and Operator cannot recover, reset, or decrypt a password-protected project or share file on your behalf. If you or a recipient loses a project password, the associated content may be permanently unrecoverable. You are solely responsible for remembering your passwords and for safely communicating them to anyone you share a project with.

When you import a project shared with you by another user, you are responsible for reviewing its contents before relying on it. Operator does not review, endorse, or verify User Content shared between users, and is not responsible for the accuracy, legality, or ownership of content contained in a file you import.

7. Artificial intelligence features

Optional A.I. features may send portions of your project to third-party providers (such as OpenAI) when enabled. A.I. output is generated automatically, may be inaccurate, incomplete, or inappropriate, and is provided for assistive purposes only.

You are solely responsible for reviewing, editing, and deciding whether to use any A.I. suggestions. A.I. features do not constitute professional writing, legal, clearance, or career advice.

Operator does not guarantee the accuracy, originality, or non-infringement of A.I. output. You use A.I. features at your own risk.

TV Pilot Builder® does not use generative A.I. in its core application components unless you separately enable optional A.I. features or use the A.I. Prompt Builder Import/Export tools with your own external A.I. services.

8. Third-party services and export

The Service may interoperate with third-party products (including WritersRoom Pro® export formats). Operator does not control third-party services and is not responsible for them.

References to third-party story methodologies, frameworks, or trademarks are for descriptive and educational purposes. Third-party marks belong to their respective owners.

9. Disclaimer of warranties

THE SERVICE AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

OPERATOR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF LOSS OR CORRUPTION OF DATA, OR THAT DEFECTS WILL BE CORRECTED. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR WORK.

NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM OPERATOR CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OPERATOR, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID OPERATOR FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (WHICH MAY BE ZERO IF THE SERVICE IS FREE).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You will defend, indemnify, and hold harmless Operator and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of this Agreement or applicable law; or (d) your violation of any third-party rights.

Operator may assume exclusive defense and control of any matter subject to indemnification at your expense, and you agree to cooperate.

12. Suspension and termination

Operator may modify, suspend, or discontinue the Service or any feature at any time, with or without notice.

Operator may suspend or terminate your access immediately if you breach this Agreement or if Operator reasonably believes termination is necessary to protect the Service, other users, or Operator.

Upon termination, your license ends and you must cease use of the Service. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

13. Changes to this Agreement

Operator may update this Agreement from time to time. Material changes may require your renewed acceptance before continued use. The version presented at signup or re-acceptance is the version that governs.

Continued use after notice of changes constitutes acceptance where permitted by law.

14. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where preempted by U.S. federal law.

Except where prohibited, any dispute arising out of or relating to this Agreement or the Service will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, and you waive any right to participate in a class action or class-wide arbitration.

Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

If you are a consumer in a jurisdiction that grants mandatory rights that cannot be waived, those rights remain unaffected.

15. General

This Agreement, together with the incorporated Terms of Service and Privacy Policy, is the entire agreement between you and Operator regarding the Service.

If any provision is held invalid, the remaining provisions remain in effect.

Operator's failure to enforce any provision is not a waiver. You may not assign this Agreement without Operator's consent; Operator may assign freely.
